1. AGREEMENT ACCEPTANCE & BINDING NATURE
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NDEX-AI LLC, a California limited liability company ("Company," "we," "us," or "our"), regarding your access and use of the NDEX platform, website, mobile application, and all associated services (collectively, the "Service")[1].
By accessing, registering for, or using the Service in any manner, you expressly acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Service. Continued use of the Service constitutes your acceptance of these Terms in their entirety.
1.1 Modification of Terms
We reserve the right to modify these Terms at any time, effective immediately upon posting to the Service. Material changes will be notified to users via email sent to the address associated with their account. Your continued use of the Service following such modifications constitutes your acceptance of the modified Terms. If you do not accept any modification, you must discontinue use of the Service immediately.
2. USER ACCOUNTS & REGISTRATION
2.1 Account Creation
The Service permits users to create personal accounts ("Account") to access certain features and functionality. You are responsible for providing accurate, complete, and truthful information during the registration process. You agree to maintain the confidentiality of your account credentials (username and password) and accept full responsibility for all activities that occur under your Account, whether or not authorized by you.
2.2 Account Eligibility
You represent and warrant that:
You are at least 18 years of age;
You have the legal capacity to enter into this binding agreement;
You are not located in, and will not use the Service from, any jurisdiction where the Service is prohibited or restricted by law;
You have not been previously suspended or terminated from the Service for violation of these Terms or applicable law.
2.3 Account Security & Responsibilities
You agree to:
Maintain strict confidentiality of your login credentials;
Immediately notify us of any unauthorized access or security breach;
Log out of your Account on shared or public computers;
Accept full legal responsibility for all activities conducted through your Account, including unauthorized use.
We are not liable for any loss, damage, or unauthorized access resulting from your failure to maintain account security or your disclosure of credentials to third parties.
2.4 Account Termination & Privilege Revocation
Upon account closure or termination—whether initiated by you or us—all privileges, access rights, and permissions are revoked immediately and permanently. You will lose access to all exclusive features and content. To regain access to the Service or exclusive features, you must create a new Account and purchase a new subscription in accordance with current pricing.
3. USER-GENERATED CONTENT
3.1 Content Ownership & Grant of License
Users may create, upload, and share text, images, data, signals, trading patterns, and other content ("User Content") through the Service. You retain all intellectual property rights to your User Content. However, by uploading User Content to the Service, you grant NDEX-AI LLC a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to:
Use, reproduce, modify, and display your User Content;
Incorporate User Content into the Service and related products;
Use User Content for analysis, research, and service improvement purposes;
Train, fine-tune, and enhance our AI systems and algorithms using your User Content and associated patterns;
Create derivative works based on your User Content.
3.2 Data, Signals & Trading Pattern Usage
NDEX-AI retains the right to use any data, signals, trading patterns, behavioral patterns, and other information derived from your use of the Service to:
Improve our AI models and recommendation engines;
Enhance service quality and user experience;
Develop better trading signals and outcomes;
Refine algorithmic decision-making;
Generate anonymized, aggregated analytics and insights.
This usage is perpetual and continues even after Account termination. We do not sell your personal data or trade information to third parties (see Section 3.4), but we do use derived patterns and signals to strengthen our proprietary systems.
3.3 User Content Responsibility
You represent and warrant that:
You own or have licensed all necessary rights to any User Content you upload;
User Content does not infringe third-party intellectual property rights, privacy rights, or publicity rights;
User Content is not unlawful, fraudulent, defamatory, obscene, or otherwise prohibited by these Terms or applicable law;
You have obtained all necessary consents and permissions for any personal data contained in User Content.
You are solely responsible for the accuracy, legality, and appropriateness of all User Content. We are not responsible for User Content created, uploaded, or shared by you or other users.
3.4 Data & Trade Information Protection
NDEX-AI does not sell customer likes, trading preferences, trade information, or personal account data to third parties. However:
We may use anonymized, aggregated insights derived from collective user behavior to improve our Service;
We comply with all applicable data protection laws, including CCPA and similar state privacy statutes;
Your personal information is governed by our separate Privacy Policy;
We retain the right to use aggregated trading signals and patterns (not tied to your identity) for AI model training.
4. INTELLECTUAL PROPERTY RIGHTS
4.1 Company Intellectual Property
All content, features, functionality, designs, compilations, graphics, logos, trademarks, service marks, trade names, copyrights, and other intellectual property ("Company IP") contained in or made available through the Service are the exclusive property of NDEX-AI LLC or our licensors.
You acknowledge that:
NDEX-AI trademarks, logos, service marks, and trade names are protected by federal and state trademark law;
The "NDEX" name, logo, visual design, interface, layout, color scheme, and all proprietary elements are Company IP;
No license, right, or permission is granted to use Company IP except as expressly authorized in these Terms;
Any unauthorized use of Company IP constitutes infringement and may result in civil and criminal liability.
4.2 Limited License to Use Service
Subject to your compliance with these Terms, NDEX-AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal, non-commercial purposes. This license:
Does not permit resale, commercial use, or derivative product development;
Does not grant ownership of any portion of the Service;
Can be revoked at any time at our sole discretion;
Terminates immediately upon Account closure or Term violation.
4.3 Prohibited Uses of Intellectual Property
You agree NOT to:
Copy, reproduce, distribute, or display Company IP without authorization;
Modify, adapt, or create derivative works from Company IP;
Use Company trademarks or logos in marketing or promotional materials without written permission;
Register domain names, social media handles, or other identifiers confusingly similar to NDEX trademarks;
Reverse engineer, decompile, or otherwise attempt to derive the source code or proprietary algorithms underlying the Service.
5. SUBSCRIPTIONS, PRICING & BILLING
5.1 Subscription Plans & Pricing
NDEX-AI offers the following subscription tiers:
Monthly Subscription \$9.99 USD Monthly (auto-renews)
Yearly Subscription \$99.99 USD Annually (auto-renews)
Free Trial: We may offer free trial periods to eligible new users. Upon completion of the free trial period, your Account will automatically convert to the paid subscription plan selected during registration unless canceled before the trial expires.
5.2 Automatic Renewal
By selecting a subscription plan, you authorize NDEX-AI to automatically charge your payment method on a recurring basis (monthly or annually, as selected) until you cancel your subscription. Auto-renewal terms:
Billing occurs on the anniversary of your subscription start date or payment method update;
Charges are processed automatically without further authorization each billing cycle;
You are responsible for ensuring your payment information remains current and valid;
We will notify you of any price increases via email at least 30 days before the change takes effect;
You may cancel auto-renewal at any time through your Account settings or by contacting us.
5.3 Payment Methods & Billing Information
You agree to provide accurate, current, and complete billing information (including valid payment method details). You authorize us to charge your provided payment method for all subscription fees and applicable taxes. If a payment fails due to expired, invalid, or insufficient funds:
We may retry payment using updated information you provide;
Your Account may be downgraded or suspended until payment is received;
Repeated payment failures may result in Account termination.
5.4 Refund Policy
Subscription fees are non-refundable. Once a subscription billing cycle has commenced, refunds are not available even if you cancel mid-cycle. However, you may cancel at any time to prevent future charges. For disputes regarding billing, contact us at legal@ndexapp.com.
5.5 Taxes
You are responsible for all applicable sales taxes, use taxes, VAT, and other taxes arising from your subscription purchase. If we are required to collect or remit taxes on your behalf, such amounts will be added to your invoice.
5.6 Promotional Offers & Free Trials
We may offer promotional discounts, coupons, or free trial periods at our sole discretion. Promotional terms are time-limited and subject to:
Eligibility requirements we establish;
One promotion per person/Account (unless otherwise stated);
Automatic conversion to standard paid pricing upon expiration unless canceled;
Forfeiture of any promotional credits upon Account termination.
6. PROMOTIONS, CONTESTS & SWEEPSTAKES
6.1 Right to Conduct Promotions
NDEX-AI may offer periodic promotions, contests, sweepstakes, giveaways, or other promotional activities ("Promotions"). Participation is voluntary and governed by separate official rules or terms published at the time of each Promotion.
6.2 Promotional Terms
By participating in any Promotion, you agree to:
Comply with all applicable rules and eligibility requirements;
Accept all decisions made by NDEX-AI regarding winners and dispute resolution as final and binding;
Grant NDEX-AI the right to use your name, likeness, and entry materials in promotional and marketing materials without additional compensation (except where prohibited by law).
7. INFRINGEMENT NOTICES & INTELLECTUAL PROPERTY CLAIMS
7.1 DMCA Compliance & Takedown Procedures
If you believe that content hosted on or transmitted through the Service infringes your intellectual property rights or violates your privacy, you may submit a written notice of infringement to:

7.2 Notice Requirements
Your infringement notice must include:
Identification of the copyrighted work, trademark, or other IP right allegedly infringed;
Description of the infringing material and its location on the Service (including specific URLs);
Your name, address, phone number, and email;
A statement that you have a good-faith belief the use is not authorized;
A statement, under penalty of perjury, that you are the IP owner or authorized representative;
Your physical or electronic signature;
The date the notice was submitted.
7.3 Response to Infringement Claims
Upon receipt of a valid infringement notice, we will:
Promptly investigate the claim;
Remove or disable access to allegedly infringing content;
Notify the user who posted the content;
Preserve evidence for potential legal proceedings.
We are not required to remove content if we believe it qualifies as fair use, is licensed, or does not infringe. Users may submit counter-notices disputing infringement claims.
8. RESTRICTIONS & PROHIBITED CONDUCT
8.1 Prohibited Activities
You agree NOT to:
Upload, post, or transmit any unlawful, threatening, harassing, defamatory, obscene, or otherwise offensive content;
Engage in fraud, misrepresentation, or deceptive practices;
Attempt to gain unauthorized access to the Service or related systems ("hacking");
Reverse engineer, decompile, disassemble, or otherwise attempt to derive proprietary technology;
Interfere with or disrupt the Service or servers/networks connected to the Service;
Upload viruses, malware, or other malicious code;
Use the Service for any illegal purpose or in violation of applicable law;
Scrape, harvest, or extract data from the Service without authorization;
Impersonate any person or entity;
Attempt to circumvent security measures, usage restrictions, or geographical limitations;
Use automated tools (bots, crawlers) to access the Service without permission;
Engage in spam, phishing, or social engineering attacks;
Violate any third-party intellectual property, privacy, or publicity rights.
8.2 Consequences of Violation
Violations of Section 8.1 may result in:
Immediate Account suspension or permanent termination;
Removal of User Content;
Civil liability and damages;
Criminal prosecution under applicable law;
Cooperation with law enforcement investigations.
9. WARRANTIES & DISCLAIMERS
9.1 AS-IS Service Provision
The Service is provided on an "AS-IS" and "AS-AVAILABLE" basis. NDEX-AI makes no warranties, express or implied, regarding:
The Service's fitness for any particular purpose;
Accuracy, completeness, or timeliness of content, data, or recommendations;
Performance, reliability, availability, or uninterrupted access;
Freedom from errors, bugs, viruses, or malicious code;
Third-party content or links hosted through the Service.
9.2 AI Output Disclaimer
IMPORTANT: The Service incorporates artificial intelligence and machine learning to generate recommendations, signals, and trading insights ("AI Outputs"). You acknowledge that:
AI Outputs are probabilistic and subject to error, bias, or misclassification;
Past performance does not guarantee future results;
We make no warranty that AI Outputs are accurate, complete, or suitable for your needs;
You are solely responsible for all trading, investment, or financial decisions based on AI Outputs or Service content;
NDEX-AI is not liable for losses, damages, or adverse outcomes resulting from reliance on AI-generated recommendations or signals.
9.3 Third-Party Content & Links
The Service may contain links to third-party websites, applications, or services ("Third-Party Services"). We:
Do not endorse, control, or take responsibility for Third-Party Services;
Are not liable for any loss, damage, or harm arising from your access to or use of Third-Party Services;
Recommend you review third-party terms and privacy policies before use.
9.4 User Responsibility for Accuracy
You are solely responsible for the accuracy, legality, and appropriateness of all User Content you upload. We do not monitor or verify the truthfulness of User Content. You assume all risk associated with your reliance on User Content or Service information.
10. LIMITATION OF LIABILITY
10.1 Liability Cap
Regardless of the cause of action, theory of liability, or nature of damages, NDEX-AI's total cumulative liability to you arising from or related to these Terms, the Service, or your use thereof shall not exceed the total amount you have paid to NDEX-AI in subscription fees during the twelve (12) months immediately preceding the claim or event giving rise to liability, or $100 USD, whichever is greater.
10.2 Exclusion of Consequential Damages
To the maximum extent permitted by law, NDEX-AI is not liable for any indirect, incidental, special, consequential, or punitive damages, including:
Loss of profits or revenue;
Loss of business, reputation, or goodwill;
Loss of data or information;
Business interruption or downtime;
Diminished value;
Cost of substitute goods or services;
Any damages arising from trading losses, investment losses, or financial harm.
This limitation applies even if we have been advised of the possibility of such damages.
10.3 Sole Remedy
Your sole and exclusive remedy for any failure or defect in the Service is, at our election, repair, replacement, or refund of subscription fees paid. Some jurisdictions do not permit the exclusion of certain warranties or the limitation of liability, so the above limitations may not apply to you.
11. INDEMNIFICATION
11.1 User Indemnification Obligation
You agree to indemnify, defend, and hold harmless NDEX-AI LLC and its officers, directors, employees, agents, successors, and assigns (collectively, "Company Parties") from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
Your use of the Service in violation of these Terms or applicable law;
Your User Content or any User Content you upload, post, or share;
Your violation of third-party intellectual property, privacy, publicity, or contractual rights;
Any trading loss, investment loss, or financial harm arising from your reliance on AI Outputs or Service recommendations;
Your breach of any representation, warranty, or obligation under these Terms.
11.2 Procedure
NDEX-AI will:
Promptly notify you of any indemnifiable claim;
Grant you sole control of the defense and settlement (provided settlements do not admit liability on our behalf without our consent);
Provide reasonable cooperation in your defense at your expense.
12. PRIVACY & DATA PROTECTION
12.1 Privacy Policy
Your collection, use, and protection of personal information is governed by our separate Privacy Policy, incorporated by reference into these Terms. By using the Service, you consent to our data practices described in the Privacy Policy.
12.2 California Consumer Protection
As a California company, NDEX-AI complies with the California Consumer Privacy Act (CCPA), California Online Privacy Protection Act (COPPA), and similar state privacy laws. You have the right to:
Know what personal information we collect and how it is used;
Delete personal information (subject to legal exceptions);
Opt-out of data sales (though we do not sell personal data to third parties);
Non-discrimination for exercising privacy rights.

12.3 Data Security
We implement industry-standard security measures to protect your personal information. However, no transmission over the internet is completely secure. We are not liable for any unauthorized access, data breaches, or security failures beyond our reasonable control.

13.2 Response Time
We will respond to legal inquiries within thirty (30) business days of receipt.
14. DISPUTE RESOLUTION & GOVERNING LAW
14.1 Governing Law
These Terms and all matters arising from or related thereto shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
14.2 Exclusive Jurisdiction & Venue
You expressly consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California. Any legal action, claim, or proceeding arising from these Terms must be brought exclusively in such courts, and you waive any objection to venue or inconvenient forum.
14.3 Dispute Resolution Process
Before initiating litigation, parties agree to attempt good-faith resolution through:
Written notice describing the dispute (sent to the address in Section 13.1);
Good-faith negotiation between the parties for thirty (30) days;
If unresolved, either party may initiate formal proceedings in Los Angeles County courts.
14.4 Waiver of Jury Trial & Class Action
To the maximum extent permitted by law, both parties waive the right to a jury trial and to participate in any class action, consolidated proceeding, or representative action against the other party. All disputes shall be resolved individually.
15. SEVERABILITY & WAIVER
15.1 Severability
If any provision of these Terms is found invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid, or if not possible, severed from these Terms. The remaining provisions shall remain in full force and effect.
15.2 Waiver
No waiver of any provision or right under these Terms shall be effective unless in writing and signed by an authorized representative of NDEX-AI. Our failure to enforce any right shall not constitute waiver of that right.
16. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and any supplemental terms for specific features or services, constitute the entire agreement between you and NDEX-AI regarding the Service. These Terms supersede all prior agreements, understandings, and negotiations (written or oral) regarding the subject matter. If there is a conflict between these Terms and any supplemental terms, the supplemental terms shall control to the extent of the conflict.
17. ASSIGNMENT
NDEX-AI may assign these Terms, our rights, and our obligations to any successor, affiliate, or buyer of our business without notice or consent. You may not assign these Terms or your rights without our prior written consent. Any attempted assignment in violation of this section is void.
18. FORCE MAJEURE
Neither party shall be liable for any failure to perform under these Terms due to causes beyond reasonable control, including acts of God, natural disasters, war, terrorism, pandemic, government action, or internet disruptions ("Force Majeure Events"). The affected party must provide prompt notice and use reasonable efforts to resume performance.
19. SURVIVAL
The following sections shall survive any expiration or termination of these Terms: Sections 3 (User-Generated Content), 4 (Intellectual Property Rights), 9 (Warranties & Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 12 (Privacy & Data Protection), 14 (Dispute Resolution & Governing Law), 15 (Severability & Waiver), 16 (Entire Agreement), 18 (Force Majeure), and 19 (Survival).
20. NOTICES
Notices under these Terms must be in writing and delivered via:
Hand delivery to the address in Section 13.1;
Overnight courier (FedEx, UPS);
Certified mail, return receipt requested;
Email to support@ndexapp.com (with confirmation of receipt).
Notices are effective upon receipt. You consent to electronic notices and accept notices sent to your registered email address.
ACKNOWLEDGMENT
By clicking "I Agree," creating an Account, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety. If you do not agree, do not use the Service.
